Creator Terms

Working version pending legal review. These terms describe the rules Dinky applies today and are in force as published. They are being proof-read by our lawyers; if that review changes them, we will publish the new version and ask for your acceptance where required.
These Creator Terms are a billing mandate (mandat de facturation) between you, the creator, and DINKY SAS (“Dinky”). They apply only once you accept them from your settings, and they complement the Terms of Service, which continue to govern everything else about your use of Dinky.
1. Purpose of the mandate
You instruct Dinky to draw up and issue, in your name and on your behalf, the invoices for the placements you sell to advertisers through Dinky, and the credit notes that correct or cancel them. This is self-billing within the meaning of Article 289, I-2 of the French General Tax Code (CGI), as described in the tax administration’s guidance BOI-TVA-DECLA-30-20-10-10. You remain the seller of each placement and, for tax purposes, the issuer of each invoice; Dinky acts solely as your billing agent.
2. Transactions covered
The mandate covers only transactions concluded through Dinky: placements ordered by an advertiser and paid through the platform. It does not extend to any arrangement you make outside Dinky, and it never authorises Dinky to invoice anything other than the price you set for the placement, as paid by the advertiser, plus VAT where you are liable for it. Invoices are issued in your name only while you are established in France, your billing details are complete and this mandate is in force; otherwise no invoice is issued in your name.
3. Content of the invoices
Every invoice issued under this mandate bears the mention “Autofacturation”, together with the version and acceptance date of this mandate, and all the other mentions required by law. It uses your identity and billing details exactly as recorded in your settings, and the VAT treatment that follows from the VAT status you declared there. Invoices and credit notes issued in the name of creators are numbered in their own continuous series, separate from Dinky’s own invoices.
4. Your copy and your right to contest
Each invoice and credit note issued in your name is made available to you in your Dinky account, on the page of the order it relates to, as soon as it is issued; the advertiser receives it too. You may contest an invoice within 15 days of it being made available, by writing to support@dinky.ad and stating what is wrong. Dinky will then correct it, where appropriate by issuing a credit note and a new invoice. An invoice not contested within that period is deemed accepted by you.
5. Your obligations
You remain solely responsible for your own tax and social obligations, in particular declaring and paying the VAT shown on invoices issued in your name and declaring the corresponding income. You must keep your billing details — legal name, legal form, address, SIREN or SIRET number, VAT status and, where applicable, VAT number — accurate and up to date in your settings, and change them there without delay whenever they change. Dinky relies on the details as you declared them and is not responsible for an invoice that is wrong because they were wrong or out of date.
6. Dinky’s obligations
Dinky undertakes to issue each invoice promptly after the advertiser’s payment, using only the amounts actually paid for the placement, to make it available to you and to the advertiser, and to keep the invoices and credit notes issued in your name for the period required by law.
7. Duration and withdrawal
The mandate takes effect when you accept it and remains in force for as long as your Dinky account exists. You may withdraw it at any time from your settings, using “Withdraw mandate” in your billing details, or by writing to support@dinky.ad. Withdrawal takes effect for orders paid after it; invoices already issued remain valid. While the mandate is withdrawn, no invoice is issued in your name, and it is for you to invoice the advertiser yourself where the law requires it. If these Creator Terms change, you will be asked to accept the new version before any further invoice is issued in your name.
